These Terms of Service (“Terms”) govern your access to and use of GuaVas, including our website, browser extension, software, tools, features, and related services collectively referred to as the “Services.”
The Services are provided by GuaVas (“GuaVas,” “we,” “us,” or “our”).
By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
1. About GuaVas
GuaVas provides student-focused productivity, organization, and study-support tools. The Services may help users track academic deadlines, organize coursework, generate study materials, prepare practice questions, and improve learning workflows.
GuaVas is intended to support learning, planning, and academic productivity. It is not intended to replace your own work, violate school rules, or be used for academic dishonesty.
2. Eligibility
You must be at least 13 years old to use the Services.
If you are under the age of majority in your location, you represent that you have permission from a parent or legal guardian to use the Services.
By using the Services, you confirm that you are legally able to agree to these Terms.
3. Accounts
Some features may require you to create an account. You agree to provide accurate and current information when creating or maintaining your account.
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
You agree to notify us promptly if you believe your account has been accessed without permission.
4. Acceptable Use
You agree to use the Services only for lawful, educational, and personal productivity purposes.
You may not use the Services to:
- Violate any law, regulation, school policy, platform rule, or third-party agreement
- Complete assignments, quizzes, tests, exams, or graded work in a dishonest or unauthorized way
- Submit AI-generated or tool-assisted work as your own if doing so violates your school’s rules
- Access another person’s account or data without permission
- Circumvent security, access controls, paywalls, restrictions, or technical protections
- Interfere with, disrupt, or damage any website, learning platform, server, network, or system
- Scrape, copy, extract, or collect data in a way that is unauthorized or unlawful
- Reverse engineer, modify, resell, sublicense, or exploit the Services without permission
- Upload malware, harmful code, or content designed to disrupt the Services
- Use the Services for fraud, abuse, harassment, or harmful conduct
We reserve the right to suspend or terminate accounts that violate these Terms.
5. Academic Integrity
GuaVas is designed to assist with studying, organization, and learning. You are responsible for making sure your use of the Services complies with your school’s academic integrity policies, honor code, classroom rules, and any applicable platform terms.
You should not use GuaVas to cheat, misrepresent your work, or avoid doing your own assignments.
We are not responsible for academic consequences, disciplinary action, account restrictions, grades, or other outcomes resulting from your use or misuse of the Services.
6. Browser Extension
If you use the GuaVas browser extension, you understand that the extension may interact with webpages or browser content only as needed to provide the Services.
You agree not to use the extension in a way that violates the rules of any website, learning management system, school platform, or third-party service.
We may update the extension from time to time to improve functionality, security, compatibility, or compliance.
7. No Affiliation With Canvas or Instructure
GuaVas is an independent product and is not owned by, operated by, endorsed by, sponsored by, or officially affiliated with Canvas, Instructure, or any school, university, district, or educational institution unless expressly stated by us in writing.
All third-party names, logos, trademarks, and services belong to their respective owners. References to third-party platforms are for identification and compatibility purposes only.
8. Subscriptions and Payments
Some parts of the Services may be free, while others may require payment or a subscription.
If you purchase a paid plan, you agree to pay all applicable fees shown at checkout. Payments may be processed by third-party payment processors. We do not directly store full credit card numbers or banking details.
Subscription fees may renew automatically unless canceled before the renewal date. You are responsible for canceling your subscription if you do not want it to renew.
We may change prices, plans, or features from time to time. If we make material pricing changes, we will provide notice where required.
9. Refunds
Unless otherwise required by law or expressly stated by us, payments are non-refundable.
We may choose to provide refunds, credits, or exceptions at our discretion, but doing so does not require us to provide the same treatment in the future.
10. User Content
You may be able to submit, upload, or provide content through the Services, including text, documents, prompts, notes, assignment information, feedback, or other materials.
You retain ownership of your content. By providing content to the Services, you grant GuaVas a limited license to process, store, display, and use that content only as needed to operate, improve, secure, and provide the Services.
You are responsible for ensuring that you have the right to submit any content you provide.
You may not submit content that is unlawful, harmful, infringing, abusive, deceptive, or violates the rights of others.
11. Intellectual Property
The Services, including our software, branding, designs, features, text, graphics, logos, and technology, are owned by GuaVas or our licensors and are protected by intellectual property laws.
These Terms do not give you ownership of the Services or any GuaVas intellectual property.
You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works based on the Services unless we give you written permission.
12. Feedback
If you send us ideas, suggestions, comments, or feedback, you agree that we may use them without restriction or compensation to you.
You are not required to provide feedback, but if you do, we may use it to improve GuaVas.
13. Third-Party Services
The Services may interact with, link to, or depend on third-party websites, platforms, tools, payment processors, analytics services, or learning management systems.
We are not responsible for third-party services, their availability, their content, their policies, or their actions.
Your use of third-party services may be governed by separate terms and privacy policies.
14. Service Changes and Availability
We may modify, update, suspend, or discontinue any part of the Services at any time.
We do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.
We may limit access to the Services for maintenance, security, legal, operational, or business reasons.
15. Termination
We may suspend or terminate your access to the Services if we believe you have violated these Terms, created risk for GuaVas or others, misused the Services, failed to pay required fees, or used the Services in a way that may cause legal or security concerns.
You may stop using the Services at any time.
After termination, certain sections of these Terms will continue to apply, including sections related to intellectual property, payment obligations, disclaimers, limitation of liability, and dispute resolution.
16. Disclaimers
The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, GuaVas disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, security, and non-infringement.
We do not guarantee that the Services will improve grades, academic performance, productivity, test results, or educational outcomes.
You are responsible for verifying any information, study materials, practice questions, summaries, or outputs generated through the Services.
17. Limitation of Liability
To the fullest extent permitted by law, GuaVas and its owners, employees, contractors, partners, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of data, loss of profits, academic consequences, disciplinary actions, or loss of access to third-party accounts.
To the fullest extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to GuaVas in the three months before the claim arose, or $100, whichever is greater.
18. Indemnification
You agree to defend, indemnify, and hold harmless GuaVas and its owners, employees, contractors, partners, and affiliates from any claims, damages, liabilities, losses, costs, or expenses arising from:
- Your use or misuse of the Services
- Your violation of these Terms
- Your violation of any law, school policy, academic integrity rule, or third-party terms
- Your content or information submitted through the Services
- Your infringement or violation of another person’s rights
19. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules.
20. Changes to These Terms
We may update these Terms from time to time. If we make material changes, we may notify users by posting the updated Terms through the Services or by another reasonable method.
Your continued use of the Services after updated Terms are posted means you accept the updated Terms.
